Collective Programme Terms

1. About these terms
These are the Programme Terms referred to in the Vigilbase Collective Partner Agreement. They form part of that agreement for full partners, and of the referral agreement for Member (referral-only) partners. If they conflict with a signed agreement, the signed agreement prevails.
Vigilbase may update these terms with at least 30 days' written notice to partners. Updates do not affect registrations already accepted or Orders already accepted. The English version of these terms prevails over any translation.
2. Tiers, targets and benefits
Revenue and lead figures are annual targets for each 12-month period from the agreement's effective date. They are not purchase commitments. Vigilbase reviews each partner's tier at least once a year and may move a partner to another tier on 30 days' notice, for future registrations only. Member (referral-only) is the lowest level.

3. Member referral fees
Member partners earn referral fees under their referral agreement, where referral compensation is allowed by law and by the policies of the referrer's employer and the referred company:
- Product referrals: $500
- Services referrals: $1,000
4. Standard Collective discount and Partner Fee
Full partners receive a standard Collective discount by tier:
- Verified: 10%
- Strategic: 15%
- Alliance: 20%
On Orders the partner resells, the discount applies to Vigilbase list prices. On Orders Vigilbase invoices directly, the partner earns a Partner Fee equal to the same percentage of the Net Fees Vigilbase collects for the period set in the agreement (12 months by default), paid quarterly. Neither applies to third-party fees, such as Cloudflare subscriptions, or to taxes. Full details, including deal registration, are in the Collective Partner Agreement.
5. Partner prices: managed Cloudflare
Monthly managed-service fees in USD, excluding Cloudflare licence fees and taxes:

6. Partner prices: MSSP

7. Other Offerings
For Vigilbase OS, Vigilbase One, Watchdog monitoring, checkups and other Offerings, use the current Vigilbase list price or a written quote, then apply the partner's standard Collective discount of 10%, 15% or 20%.
Record any additional approved deal-specific discount in the applicable quote or Order Form.
8. Commercial terms
Deal-specific flexibility
Vigilbase may approve an additional strategic-deal discount of up to five percentage points. It must be included in the applicable quote or signed Order Form, applies only to that Order, does not change the partner's Collective tier and does not automatically continue at renewal.
30-day pricing notice
Vigilbase may update list prices, MSSP pricing or standard discounts with at least 30 days' notice for new and renewing Orders. An active committed Order remains fixed for its current term unless the parties agree to a scope change.
Fixed managed-service fees
Quotes show a clear final fixed monthly operating fee. Managed-services fees are not calculated as a percentage of Cloudflare licence value and do not use 'greater of' pricing. Vigilbase sells the Cloudflare licence and runs the account; the platform and the operator are scoped together in the quote.
