Master Service Agreement

1. Agreement Overview

This Master Service Agreement ("Agreement") governs the provision of cybersecurity services by Vigilbase, Inc. ("Vigilbase," "we," "us," or "our") to the customer ("Customer," "you," or "your"). By engaging our services, you agree to be bound by these terms.

2. Services

Vigilbase provides comprehensive cybersecurity services including:

• Device management and endpoint protection
• Threat detection and response (MDR)
• Email security solutions
• Cloud backup services
• Security awareness training
• 24/7 technical support

3. Customer Responsibilities

Customer agrees to:

• Provide accurate and complete information necessary for service delivery
• Maintain appropriate access credentials and permissions
• Comply with security policies and procedures
• Promptly report security incidents or concerns
• Pay all fees in accordance with the agreed payment terms

4. Service Level Agreement

Vigilbase commits to:

• 99.9% uptime for monitoring and protection services
• 24/7 availability for critical security incidents
• Response times as specified in service documentation
• Regular reporting on security posture and incidents

5. Data Protection and Privacy

Vigilbase will handle all customer data in accordance with applicable privacy laws and our Privacy Policy. We implement industry-standard security measures to protect customer information and maintain confidentiality of all customer data accessed during service delivery.

6. Limitation of Liability

To the maximum extent permitted by law, Vigilbase's total liability for any claims arising under this Agreement shall not exceed the total amount paid by Customer for services in the twelve (12) months preceding the claim. Vigilbase shall not be liable for any indirect, incidental, or consequential damages.

7. Term and Termination

This Agreement begins upon execution and continues for the term specified in the applicable service order. Either party may terminate this Agreement with thirty (30) days written notice. Vigilbase may terminate immediately for material breach or non-payment.
