Cloudflare Enterprise Licences

1. Who you buy from

You buy the licence from the Vigilbase entity named in your Order Form, not from Cloudflare. Vigilbase acts as a Cloudflare reseller, not as Cloudflare's agent. We cannot change Cloudflare's terms or make commitments on Cloudflare's behalf.

2. The terms that apply

• Cloudflare's terms govern your use of Cloudflare's network and products: the Cloudflare Enterprise Subscription Agreement, including its section on purchases through a reseller, and the Service-Specific Terms for the products you use. You accept them when you accept an Order Form that includes a Cloudflare licence.
• Our terms govern everything Vigilbase does and how you buy the licence: your Order Form, the Terms of Service and, for managed services, the Master Services Agreement.

Cloudflare's payment terms do not apply to you, because you pay Vigilbase. If Cloudflare's terms and ours differ on how you may use Cloudflare's products, Cloudflare's terms prevail on that point.

3. Fees, term and renewal

Your Order Form sets the Cloudflare products, usage allowances, fees, licence term and renewal. We invoice you and you pay us. We bill usage above your allowances at the rates in your Order Form.

If an invoice stays unpaid, we may ask Cloudflare to suspend or downgrade the licence after giving you the notice set out in the Terms of Service.

4. Support and service levels

Contact Vigilbase first. We handle configuration and troubleshooting, and escalate to Cloudflare when an issue needs Cloudflare's engineers.

Our service level terms cover the services Vigilbase performs. Cloudflare's Enterprise Support and SLA covers Cloudflare's network and products.

5. Service credits and liability

Cloudflare's Enterprise Subscription Agreement and Enterprise Support and SLA set the commitments and remedies for Cloudflare's network and products, including their availability, performance and security. Vigilbase gives no separate commitment for them.

Cloudflare pays service credits to its reseller, so you claim them through us. Tell us about a Cloudflare service issue promptly so that we can submit the claim within Cloudflare's deadlines. If Cloudflare approves a credit or refund for your account, we pass all of it on to you, normally as a credit on your next invoice. If Cloudflare declines the claim, no credit is due from Vigilbase.

To the extent the law allows, our liability for Cloudflare's services is limited to passing on what Cloudflare approves, as set out in section 19 of the Terms of Service. We remain responsible under our Terms and your Order Form for the work Vigilbase does, such as configuration, onboarding and support.

6. Data protection

Cloudflare processes the traffic and content that pass through its network under the Cloudflare Customer DPA and lists its own subprocessors. Vigilbase processes the data it accesses while supporting and managing your account under our Data Processing Addendum.

7. Your account if things change

Your domains and configuration remain yours. When the licence ends, or if you move to Cloudflare directly or to another partner, we will transfer administration of your configuration as set out in the Master Services Agreement.

If Vigilbase stops being an authorized Cloudflare reseller, Cloudflare may ask you to contract with it directly or through another partner. We will tell you as early as we can and help you move without interrupting your service.
